SCP AGENCY – TERMS & CONDITIONS
Effective Date: 7/1/2013
These Terms & Conditions apply to all services provided by SCP Agency, including but not limited to Social Media Management, Advertising, Graphic Design, and Strategic Consulting. By engaging our services or accepting a proposal, you agree to the following terms.
1. Scope of Work
Services are provided according to the scope outlined in your proposal, contract, or package selection. Any modifications or requests outside of the agreed scope may result in additional fees and updated timelines.
2. Client Responsibilities
Clients agree to:
Provide timely access to necessary platforms, files, logins, and brand assets
Respond promptly to communication and feedback requests
Participate in monthly check-ins or approve video report alternatives
Failure to provide access or timely communication may impact deliverables and timelines.
3. Support & Availability
Support hours are Monday–Friday, 8:00 AM – 7:00 PM CST. Any after-hours needs may be scheduled by request and are subject to team availability.
4. Billing & Payment Terms
Invoices are issued by the 25th of each month, with payment due by the 5th.
A 10-day grace period is offered. Payments made after the 15th incur a 10% late fee.
Accepted payment methods:
ACH Transfer
Credit Card on File (required for recurring billing)
By accepting a quote or proposal, you agree to these payment terms and late fee policies.
5. Cancellation Policy
SCP Agency does not require long-term contracts. We operate on a month-to-month basis.
A 30-day written notice is required to cancel services.
Clients are encouraged to provide advance notice of dealership promotions or campaigns to allow our team time to adjust.
By accepting your service package or quote, you agree to this cancellation policy.
6. Ad Spend & Management Fees (If Applicable)
Ad spend is billed directly by platforms (e.g., Meta/Facebook) as a pass-through cost.
SCP Agency charges a 20% management fee based on your monthly ad budget.
Example:
Ad Spend: $2,500
Management Fee: $500
Total: $3,000
7. Content Ownership & Usage
All content created remains the property of SCP Agency until payment is received in full.
Once paid, you are granted full usage rights to the final, approved creative assets.
SCP Agency reserves the right to feature completed work in its portfolio, unless otherwise agreed in writing.
8. Revisions & Scope Changes
Each project includes a set number of revision rounds.
Additional revisions or major scope changes may incur fees.
Revisions will not be made without prior approval of previous deliverables.
9. Confidentiality & Privacy
SCP Agency will never sell or share your private information. Both parties agree to maintain the confidentiality of all proprietary or sensitive business information exchanged during the course of service.
10. Compliance & Disclaimer
SCP Agency adheres to current marketing regulations and industry standards. However, we cannot guarantee specific performance outcomes (e.g., sales, lead volume) due to the unpredictable nature of social media and ad platforms.
11. Termination of Services
SCP Agency reserves the right to suspend or terminate services in cases of:
Non-payment
Repeated failure to provide necessary feedback or assets
Violation of these Terms
Any remaining balances are due upon termination.
12. Governing Law
These Terms shall be governed by the laws of the State of Missouri. Any legal matters will be handled in a mutually agreed-upon jurisdiction.
